This is a Business to Business offer! Signups of individuals will not be accepted!
1. Scope of Application
These Terms & Conditions (“Terms”) apply to all consulting and training services (“Services”) provided by **emoticomms OÜ**, an Estonian private limited company (registry code …, registered address …), to business clients (“Client”). By booking the Startup Package online and submitting payment, the Client agrees to these Terms.
2. Services Provided
The Business Check Package includes the following modules:
- Feedback on your Financial Overview + Planning
- Feedback on your Cybersecurity + AI Standards
- Feedback on your Smart Work Processes
- Feedbacks on your Enterprise Sales Metrics
The Services are provided remotely. The scope is limited to advisory and training services.
The Services do NOT constitute legal, tax, or financial advice.
3. Booking & Payment
3.1 Bookings are made online via the designated booking platform.
3.2 All Services are payable in advance (“prepayment”). The booking is confirmed once full payment has been received.
3.3 Invoices are issued by emoticomms OÜ upon booking.
4. Client Obligations
4.1 The Client shall provide all necessary information, access, and cooperation required for the delivery of the Services.
4.2 The Client is solely responsible for implementing any recommendations provided during the Services.
5. Confidentiality
Both parties agree to keep confidential any business, technical, or personal information disclosed in the course of the Services. A separate Non-Disclosure Agreement (NDA) will be signed before the first session.
6. Data Protection
If personal data is processed in the course of the Services, both parties shall comply with applicable data protection laws, including the EU GDPR.
7. Intellectual Property
All materials, documents, and frameworks provided during the Services remain the intellectual property of emoticomms OÜ and are licensed to the Client for internal business use only. Redistribution or resale is prohibited without prior written consent.
8. Liability
8.1 emoticomms OÜ shall not be liable for any indirect, incidental, or consequential damages, including loss of profit or data.
8.2 Liability for direct damages shall be limited to the total amount paid by the Client for the relevant Services.
8.3 No guarantee of specific business results or financial outcomes is provided.
9. Termination & Cancellation
9.1 Since the Services are booked and prepaid as a fixed package, no refund is granted once the booking is confirmed.
9.2 In the event of force majeure or circumstances beyond the reasonable control of emoticomms OÜ, delivery may be rescheduled.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of Estonia. Any disputes shall be exclusively resolved by the competent courts of Tallinn, Estonia.
11. Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Startup Package and supersede all prior arrangements, proposals, or communications.
